If your payment method fails, we'll attempt to notify you through email. You've got 7 days to update your payment information before we suspend service access. After 30 days of non-payment, we may terminate your account and pursue collection.

Refund Policy

We handle refund requests on a case-by-case basis. Generally, subscription fees aren't refundable for partial periods. If you believe you're entitled to a refund due to service issues or billing errors, contact us within 14 days of the charge.

7. Data Privacy and Security

We take your data seriously. Our separate Privacy Policy covers this in detail, but here's what matters most:

  • Your business information remains confidential and isn't shared without permission
  • We implement industry-standard security measures to protect your data
  • You can request data export or deletion subject to legal requirements

Data Breach Protocol: In the unlikely event of a security breach affecting your information, we'll notify you within 72 hours and outline steps we're taking to address the situation.

8. Service Availability and Modifications

We strive for 99.5% uptime but can't promise our services will be available every second of every day. Maintenance happens, unexpected issues crop up, and sometimes external factors beyond our control affect service delivery.

Scheduled Maintenance

We perform regular maintenance, usually during off-peak hours. When possible, we'll give you at least 48 hours notice. Emergency maintenance might happen without advance warning if security or stability requires it.

Service Changes

We're constantly improving our platform. This means features might change, get updated, or occasionally be discontinued. Major changes that significantly affect your use of the service will come with reasonable notice—typically 30 days.

Service Warranties

We provide our services "as is" and "as available" without warranties of any kind, whether express or implied. This includes (but isn't limited to) warranties of merchantability, fitness for particular purposes, or non-infringement.

We don't guarantee that our services will meet your specific requirements, operate without interruption, or be completely error-free. We work hard to maintain quality, but perfection isn't realistic in software services.

10. Limitation of Liability

To the maximum extent permitted under Australian law, mivarelxiono won't be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

This includes (but isn't limited to) loss of profits, data loss, business interruption, or any other commercial damages or losses, even if we've been advised of the possibility.

Our total liability for any claim related to our services is limited to the amount you paid us in the 12 months preceding the claim. Some jurisdictions don't allow certain liability limitations, so some of these restrictions might not apply to you.

Exceptions

Nothing in these terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that can't be excluded or limited under Australian law.

11. Indemnification

You agree to defend, indemnify, and hold harmless mivarelxiono, our directors, employees, contractors, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use or misuse of our services
  • Violation of these terms of use
  • Infringement of any third party rights
  • Any content or data you submit to our platform
  • Your business activities based on information from our services

We'll notify you of any such claims and cooperate with you in defending them, but we reserve the right to participate in the defense with counsel of our choosing.

12. Term and Termination

These terms remain in effect while you use our services. Either party can terminate this agreement at any time.

Your Termination Rights

Cancel your account anytime through your account settings or by contacting us. You remain responsible for charges incurred before cancellation. Subscription fees for the current period aren't refundable upon voluntary cancellation.

We may suspend or terminate your access immediately if you breach these terms, engage in fraudulent activity, or if continuing to provide service would violate applicable laws.

We'll usually give you notice and an opportunity to remedy violations before permanent termination, except in cases of serious misconduct or legal requirements.

Effect of Termination

Upon termination, your right to use our services ceases immediately. You can request a data export within 30 days of termination. After this period, we may delete your account data according to our standard retention policies.

13. Dispute Resolution

We'd rather resolve disagreements through conversation than courtrooms. If an issue arises, contact us first and we'll work toward a reasonable solution.

Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts in New South Wales.

Mediation

Before initiating formal legal proceedings, both parties agree to attempt resolution through mediation. We'll work together to select a mutually acceptable mediator and share the mediation costs equally.

If mediation doesn't resolve the dispute within 60 days, either party may proceed with formal legal action.

14. General Provisions

Entire Agreement

These terms, along with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and mivarelxiono regarding our services. They supersede any prior agreements or understandings.

Severability

If any provision of these terms is found unenforceable, the remaining provisions continue in full force. The unenforceable provision will be modified to reflect the parties' intentions as closely as possible within legal bounds.

Waiver

Our failure to enforce any right or provision doesn't constitute a waiver of that right. Any waiver must be in writing and signed by our authorized representative.

Assignment

You can't transfer or assign your rights under these terms without our written consent. We may assign our rights and obligations to any affiliate or in connection with a merger, acquisition, or sale of assets with notice to you.

Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet service provider failures.

15. Changes to These Terms

We review and update these terms periodically. Material changes receive prominent notice—usually through email and a banner on our platform for at least 30 days before the changes take effect.

Your continued use of our services after changes become effective means you accept the updated terms. If you disagree with changes, you can terminate your account before they take effect.

For minor changes (like correcting typos or clarifying existing provisions), we'll update the revision date without extensive notice.
